This Dealer Participation and Inventory License Agreement supplements the MotorMarket Terms and applies to each dealership that submits or authorizes inventory for display on MotorMarket.com.
The individual accepting this Agreement represents and warrants that the individual is authorized to enter into this Agreement on behalf of the identified dealership and to grant the permissions described below.
The Dealer represents and warrants that it:
The Dealer authorizes MotorMarket, acting solely as a dealer-authorized advertising publisher and technology service provider and not as the Dealer’s sales agent or fiduciary, to publish and distribute advertisements for the Dealer’s submitted vehicles.
The Dealer remains the identified advertiser and seller, retains control over its inventory, advertised terms, communications, offers, and transaction decisions, and is solely responsible for the legality and accuracy of its advertisements and disclosures. This authorization does not permit MotorMarket to accept an offer, establish final transaction terms, sign transaction documents, receive vehicle purchase funds, or otherwise bind the Dealer.
The Dealer grants AIKnowHow.com LLC a nonexclusive, royalty-free license to receive, host, reproduce, format, modify for technical or presentational purposes, display, distribute, and transmit the Dealer’s submitted inventory content, business name, dealership logo, and related materials solely for:
MotorMarket may use service providers for hosting, inventory processing, search, analytics, communications, and listing distribution. MotorMarket does not acquire ownership of the Dealer’s content.
This authorization continues until the applicable content is removed or the Dealer terminates participation, subject to reasonable technical processing, backup, archival, and search-engine removal periods.
Inventory may be transmitted directly by the Dealer or through a provider expressly authorized by the Dealer, including an inventory-management system, DMS provider, syndication provider, CSV feed, API, or SFTP integration.
The Dealer is responsible for arranging any permission required from its inventory provider. MotorMarket is not responsible for fees, restrictions, or contractual obligations imposed by that provider.
MotorMarket will not activate an inventory source until it has received authorization from the Dealer or an authorized representative.
The Dealer is solely responsible for ensuring that submitted information is accurate, current, complete, and not misleading.
The Dealer must promptly update or remove information when:
The Dealer must ensure that advertised prices and disclosures comply with all laws applicable in the jurisdictions where the advertisement is displayed and the vehicle is offered.
MotorMarket may correct formatting errors, suppress incomplete or questionable listings, request verification, or remove content that MotorMarket reasonably believes is inaccurate, unauthorized, misleading, unlawful, or inconsistent with platform requirements.
The Dealer remains solely responsible for:
MotorMarket does not make warranties or representations on behalf of the Dealer and has no authority to bind the Dealer to a price, offer, sale, financing arrangement, or other transaction term.
The Dealer authorizes MotorMarket to transmit consumer inquiries, contact information, vehicle interests, proposed terms, and relevant communication context to the Dealer.
The Dealer may use a lead only to respond to the consumer’s inquiry and for other purposes permitted by the consumer’s consent and applicable law. The Dealer may not sell or disclose lead information to an unrelated third party or use it in a manner inconsistent with the consumer’s request.
The Dealer is independently responsible for its communications with consumers, including compliance with privacy laws, the Telephone Consumer Protection Act, CAN-SPAM, do-not-call requirements, and applicable state laws.
Either party may terminate Dealer participation by providing written or electronic notice.
Following termination, MotorMarket will stop accepting new inventory and will remove active listings within a commercially reasonable processing period. The Dealer remains responsible for inquiries, representations and transactions occurring before removal.
MotorMarket may immediately suspend a feed or listing when it reasonably believes that the content is unauthorized, inaccurate, misleading, unlawful, technically harmful, or likely to cause consumer harm.
To the extent permitted by law, the Dealer will defend, indemnify, and hold harmless AIKnowHow.com LLC and its affiliates, officers, employees, and service providers from third-party claims, damages, penalties, losses, and reasonable legal expenses arising from:
This section does not apply to the extent a claim was directly caused by MotorMarket’s unauthorized material alteration of Dealer content or MotorMarket’s willful misconduct.
This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict of law principles, except where applicable law requires otherwise.
Notices to MotorMarket under this Agreement may be sent to support@aiknowhow.com. Notices to the Dealer may be sent to the email address provided during onboarding or as later updated in writing.
